CNS Pharmaceuticals, Inc. stockholders approved amendments to the company's 2020 Equity Plan at its annual meeting on September 30, 2026, authorizing an additional 650,000 shares of common stock for issuance. CNS Pharmaceuticals, Inc. stockholders approved amendments to the company's 2020 Equity Plan at its annual meeting on September 30, 2026, authorizing an additional 650,000 shares of common stock for issuance. The vote increased the total number of shares available under the plan to 765,061. The company filed a Form 8-K with the U.S. Securities and Exchange Commission on October 1, 2026, to report the meeting results.

The annual meeting was held at 12:00 p.m. ET. As of the August 10, 2026 record date, CNS Pharmaceuticals had 1,461,449 shares of common stock issued and outstanding. Of these, 668,188 shares, representing 45.72% of the total, were present in person or by proxy, establishing a quorum for the vote.

Stockholders re-elected the company's entire board of directors to serve until the 2027 annual meeting or until successors are elected. The six directors elected were Faith Charles, Bettina Cockroft, Michal Fisher, Jeffrey Keyes, Rami Levin, and Amy Mahery. Each director received a majority of the votes cast in favor. The shareholders also ratified the appointment of MaloneBailey, LLP as the independent registered public accounting firm for the fiscal year ending December 31, 2026. The proposal passed with 637,228 votes for, 30,874 against, and 89 abstentions. There were no broker non-votes recorded for this proposal.

In an advisory vote on executive compensation, stockholders approved the resolution with 98,103 votes for and 6,682 against. There were 331 abstentions and 563,072 broker non-votes associated with this proposal.

The final proposal authorized the adjournment of the meeting to solicit additional proxies if necessary. This measure passed with 622,421 votes for and 45,635 against. There were 132 abstentions and no broker non-votes.
