Carrel's background and committee assignments
Carrel, age 55, joined the Inspire board with assignments to two committees: Organization and Compensation, and Quality, Product Supply and Technology. The Nominating and Corporate Governance Committee recommended the appointment. His most visible current role is at AtriCure, where he has served as president, CEO and director since November 2012. AtriCure develops device-based solutions for atrial fibrillation, left atrial appendage management and post-operative pain management.
Before AtriCure, Carrel was president and CEO of Vital Images, a publicly traded medical imaging software company acquired by Toshiba Medical Systems Corporation. He also held the president and CEO role at Zamba Corporation, a publicly traded technology company, and served as chief financial officer of NextNet Wireless.
Prior public-company board experience includes Axonics, Inc., where he sat from February 2019 through November 2024 and held the chairman seat beginning April 2020. Boston Scientific subsequently acquired Axonics. Outside medical devices, Carrel has chaired Big Brothers Big Sisters of America since 2021 and has sat on the Medical Device Manufacturers Association board since 2017. He holds a B.S. in Accounting from Pennsylvania State University and an M.B.A. from The Wharton School at the University of Pennsylvania.
Compensation terms
Under Inspire's Non-Employee Director Compensation Policy, Carrel is eligible for an annual cash retainer of $55,000 for board service. Each of his two committee assignments carries an additional $7,500 annual retainer, earned quarterly.
On the equity side, the initial restricted stock unit award carries an aggregate fair value of $300,000, vesting in equal annual installments over three years from the grant date. Annual RSU grants thereafter carry an aggregate fair value of $200,000, each vesting on the first anniversary of the respective grant date. Carrel may take any portion of his cash retainers in Inspire common stock instead of cash.
