American Water (AWK) and Essential Utilities (WTRG) shares rose 6% each on a day marked by broad weakness in technology stocks. The movement reflects a shift in investor positioning rather than company-specific news, as capital moved from chip and AI-hardware names into defensive sectors like utilities and consumer staples.
The broader market context underscored this rotation. The Nasdaq fell 3% and the S&P 500 dropped 1.5% during the session. Within the utility sector, smaller water utilities generally advanced between 3% and 4%. This flight to safety highlights the appeal of water utilities, where revenue is not tied to volatile AI budgets or cyclical tech demand.
American Water’s valuation remains below its historical average despite the recent gain. The stock closed the previous day at 23 times forward earnings, a level well under its five-year average of 28 times. The current price action pushes the multiple closer to 24 times, though it remains distant from the 47 times peak recorded in August 2022. As recently as June, the stock traded at 18 times forward earnings.
Essential Utilities’ price action is directly linked to a pending acquisition. American Water agreed to purchase Essential in an all-stock deal announced in October 2025. Under the terms, each Essential share converts to 0.305 of an American Water share at closing. The companies target the end of the first quarter of 2027 for the deal’s completion, and the antitrust waiting period has already expired. Consequently, Essential’s stock price tracks American Water’s movements closely.
Analyst sentiment remains mixed on the valuation. Barclays lowered its price target for American Water to $127 from $130 on Monday, maintaining an Underweight rating that places the target below the current trading level. In contrast, fundamental growth metrics align with management’s long-term targets. American Water’s normalized earnings per share increased from $4.90 in 2023 to $5.64 in 2025. Analysts project this figure to reach $7.13 by 2028, representing an annual growth rate of approximately 8%, which sits within the company’s stated long-term target range of 7% to 9%.
Essential Utilities is scheduled to report its third-quarter results after the market close on Nov. 3. This upcoming earnings release serves as a near-term milestone for the combined entity’s financial trajectory.
