The deal structure
Total consideration reaches up to US$25 million. Up to US$1.5 million comes in cash; the balance is structured as pre-funded warrants valued at approximately US$23.5 million, subject to working capital adjustments. Those warrants carry a 12% annualized gross-up adjustment calculated from closing to the exercise date and become exercisable for common shares starting 90 days after closing.
Share issuance under the warrants is capped at 24.999% in aggregate and 19.99% individually of shares outstanding before closing, per Toronto Stock Exchange policy. Any consideration that cannot be settled through share issuance within those limits will be recognized through promissory notes.
Spencer's role in the AdhereNet platform
Custom Health already deploys the spencer device as part of its medication management model. Data from the dispenser flows into the company's AdhereNet platform, which uses AI-enabled workflows to flag medication issues for clinical follow-up. Pharmacist-led clinicians act on those signals by contacting patients, engaging caregivers, and coordinating with providers across Remote Patient Monitoring and Remote Therapeutic Monitoring programs.
Taking Spencer in-house gives Custom Health direct control of the product roadmap and engineering team. CEO Shane Bishop said the technology has proven itself as part of how the company delivers continuous, real-time visibility into medication use at home, including through Remote Therapeutic Monitoring. He described the acquisition as part of a broader strategy to build infrastructure for medication management at home and expand the deployment of technology-enabled, pharmacist-led care.
What to watch
Spencer will operate as a wholly owned subsidiary of Custom Health following closing. The definitive agreement is in place; the next confirmable marker is closing and the formal conversion of the forbearance arrangement into full ownership.
