Innventure, Inc. has filed an 8-K reporting a change in control structure following the departure of its Chief Financial Officer, David Yablunosky. The company disclosed a consulting agreement dated October 19, 2026, which formalizes Yablunosky's transition from executive officer to independent contractor to assist with the handover of financial duties.
Under the terms of the agreement, Yablunosky's employment with Innventure LLC, the company's subsidiary, ended on October 19, 2026. He ceased serving as Chief Financial Officer for both Innventure, Inc. and Innventure LLC on that date. The company is retaining him to provide transition services to Eric Stober, who is identified as the new Chief Financial Officer. This arrangement is conditional on Yablunosky executing a general release in a form acceptable to the company.
The consulting agreement specifies that Yablunosky will devote approximately 40 hours per week to these services until November 20, 2026. Following that date, his expected commitment will decrease to approximately 20 hours per week. In this capacity, he will be considered a service provider for Innventure, Inc. and its operating companies, including Refinity Holdings, LLC.
Financial compensation for the consulting period includes a weekly payment of $5,500 for each week services are provided between the transition date and the termination date. The company will also reimburse the full monthly cost of COBRA premiums for Yablunosky and his spouse from November 1, 2026, through the last day of the month in which the agreement terminates. Additional reimbursements cover travel and other reasonable out-of-pocket expenses, provided they are approved in advance by the company.
The agreement ensures that existing equity awards continue to vest on their original schedules during the consulting period. These awards include restricted stock units and stock options granted under agreements dated December 9, 2024, August 25, 2025, and April 2, 2026. It also covers profits interest units granted by Refinity Holdings, LLC on December 11, 2024.
The consulting arrangement will remain in effect until the earlier of May 14, 2027, or a specified termination event. Termination can occur by mutual written agreement, by Yablunosky providing 30 days' advance notice, or by Innventure if Yablunosky revokes his consent under the release or breaches any agreement between the parties. Upon termination, Yablunosky's obligation to perform services ceases, as does the company's obligation to provide consideration for subsequent periods.
The contract explicitly states that it does not create an employer-employee relationship. Yablunosky remains an independent contractor responsible for his own actions. He is required to return or destroy all confidential information and provide copies of any work product not already delivered to the company upon termination.
