Marvell GAAP operating margin lags peak despite stock recovery

The August 27 report included a revenue guidance raise for fiscal 2027 to roughly $12 billion and fiscal 2028 to about $18 billion. Data center revenue, which represents 79% of the total, grew 46% year over year. However, the stock fell more than 8% the next day, wiping out roughly $17.4 billion in market value. This reaction stemmed from a prior disclosure of a commercial agreement with Google, which includes a warrant for up to 58.97 million shares at $206.58. CEO Matt Murphy stated that revenue from this deal becomes significant starting in fiscal 2029, a cautionary note that prompted the sell-off.
Marvell's GAAP gross margin has expanded for eight consecutive quarters, reaching 53.14% in the quarter ended August 1, 2026. This trend suggests that custom silicon is not dragging down overall profitability. In contrast, GAAP operating margin peaked at 18.66% in the quarter ended January 31, 2026, before dropping to 14.48% in the following quarter. This decline coincided with the close of the Celestial AI acquisition in December 2025. GAAP expenses include acquisition-related costs and intangible amortization that non-GAAP figures exclude. By the most recent quarter, GAAP operating margin recovered to 16.68%.
CFO Dan Durn noted on the earnings call that operating expenses will grow at roughly half the rate of revenue growth as custom silicon scales. This non-GAAP argument does not address whether integration costs from Celestial AI will continue to impact GAAP results. Marvell has not disclosed the specific size of the acquisition's impact on operating expenses.
The stock currently trades at a forward earnings multiple of 44.76x, which is 27% above its three-year average of 35.2x. This valuation is above the $241.65 level implied by Wall Street's median $275 price target set after earnings. The multiple has fluctuated significantly, peaking at 69.72x in mid-2026 before settling at its current level. The current premium relies on projected revenue growth of roughly 50% in fiscal 2028.
Investors are now waiting for Marvell's October 6 Investor Day to see if management can demonstrate a path for GAAP operating margin to return to its January peak. The company must also provide a credible timeline for the custom silicon business beyond its current framing. If the margin gap persists as Marvell integrates more acquisitions, the current multiple may not reflect the underlying financial reality.
