Medicus Pharma Ltd. (NASDAQ: MDCX) has regained compliance with The Nasdaq Stock Market LLC's minimum bid price requirement, closing a delisting matter that had reached a formal determination stage earlier in the month. The company filed a Form 8-K with the U.S. Securities and Exchange Commission on October 20, 2026, to disclose the status of its listing on the Nasdaq Capital Market.

The development centers on Nasdaq Listing Rule 5550(a)(2), which mandates a minimum closing bid price of $1.00 per share for continued listing. On April 21, 2026, Nasdaq issued written notice to Medicus Pharma indicating that the closing bid price of its common shares had fallen below $1.00 for 30 consecutive business days. This non-compliance triggered a 180-calendar-day period to regain compliance, expiring on October 19, 2026.

Because the company did not meet the requirement by that deadline, Nasdaq sent a delisting determination letter on October 20, 2026. The letter indicated that Medicus Pharma was not eligible for a second 180-day compliance period because it failed to meet the $5 million stockholders' equity requirement under the Initial Listing Criteria for the Nasdaq Capital Market. Consequently, Nasdaq determined to delist the company's common shares and warrants from the exchange.

However, the situation reversed shortly after the determination was issued. On October 23, 2026, the Listing Qualifications Department of Nasdaq sent a Compliance Notice to the company. This notice stated that for the ten consecutive business days ending October 23, 2026, the closing bid price of the shares had been at or above $1.00 per share. As a result, Nasdaq confirmed that Medicus Pharma had regained compliance with the Minimum Bid Price Requirement and declared the matter closed.

The Compliance Notice supersedes the earlier delisting determination letter, rendering it moot. Medicus Pharma's common shares, no par value, and warrants exercisable for common shares remain listed on the Nasdaq Capital Market under the symbols MDCX and MDCXW, respectively. The company is headquartered in Conshohocken, Pennsylvania, and is incorporated in Ontario.

In its filing, Medicus Pharma cautioned that there is no assurance it will be able to maintain compliance with the Minimum Bid Price Requirement or other continued listing requirements in the future. The company identified statements regarding its continued listing and ability to maintain compliance as forward-looking statements, subject to risks and uncertainties detailed in its SEC filings.
