The transition converted the entity from a Delaware corporation to a Texas corporation, shifting governance of internal affairs from Delaware law to Texas law. Each outstanding share of common stock and 8.75% Series A Cumulative Redeemable Perpetual Preferred Stock automatically converted into an equivalent share of the Texas Corporation. Stockholders did not need to exchange certificates or book-entry entitlements, and trading for POWW and POWWP continued without interruption.
The redomestication did not alter the company's headquarters, business operations, employee count, assets, liabilities, or net worth, aside from costs associated with the process. While Outdoor Holding is in the process of moving its headquarters from Atlanta, Georgia, to Dallas, Texas, the corporate conversion itself did not change the location of offices or facilities. All existing agreements, equity compensation plans, and obligations continued with the Texas Corporation on the same terms and conditions as previously held by the Delaware entity.
In connection with the redomestication, the Board of Directors appointed Steven F. Urvan as President of the Company, effective at the same time the redomestication took effect. Urvan previously served as Chairman and Chief Executive Officer and will continue in those roles. The appointment was made to comply with officer requirements under the Texas Business Organizations Code. No new material plans or contracts were entered into with Urvan in connection with his new title.
