Sadot Group dismisses Kreit & Chiu, engages CT International

Sadot Group Inc. (NASDAQ: SDOT) dismissed Kreit & Chiu CPA LLP as its independent registered public accounting firm on September 22, 2026, following the firm's failure to secure ratification at the company's annual meeting. Sadot Group Inc. (NASDAQ: SDOT) dismissed Kreit & Chiu CPA LLP as its independent registered public accounting firm on September 22, 2026, following the firm's failure to secure ratification at the company's annual meeting. The Audit Committee of the Board of Directors approved the dismissal effective immediately and engaged CT International LLP as the new auditor on the same date.

The change in accountants follows a decision by Sadot Group stockholders on September 10, 2026, at the 2026 Annual Meeting of Stockholders, to not ratify the appointment of Kreit & Chiu for the fiscal year ending December 31, 2026. This outcome was previously reported in a Form 8-K filed with the Securities and Exchange Commission on September 15, 2026. Kreit & Chiu had served as the company's independent registered public accounting firm since 2021.

The new engagement with CT International covers the audit of the company's consolidated financial statements for the fiscal year ending December 31, 2026, as well as the review of unaudited condensed consolidated financial statements for the quarterly period ending September 30, 2026. An engagement letter was executed between Sadot Group and CT International on September 22, 2026.

The dismissal occurred against the backdrop of a material weakness in Sadot Group's internal control over financial reporting, which management identified as of December 31, 2025. This weakness, arising from insufficient staffing and limited financial and accounting resources, resulted in inadequate segregation of duties and insufficient review of complex accounting matters. The material weakness has not been fully remediated as of the date of the current report. Kreit & Chiu's audit report for the fiscal year ended December 31, 2025, included an explanatory paragraph regarding substantial doubt about the company's ability to continue as a going concern.

The company stated there were no disagreements with Kreit & Chiu on matters of accounting principles or practices during the fiscal years ended December 31, 2025 and 2024, and the subsequent interim period through September 22, 2026. The only reportable event during this period was the aforementioned material weakness in internal controls. Kreit & Chiu has been authorized to respond to inquiries from CT International concerning this material weakness.

Kreit & Chiu provided a letter dated September 25, 2026, addressed to the SEC, stating whether it agrees with the disclosures made by Sadot Group in Item 4.01 of the Form 8-K. This letter is filed as Exhibit 16.1 to the report. Sadot Group is headquartered at 295 E. Renfro Street, Suite 300, Burleson, Texas.
