Astrotech approves 1st Detect bonus plan tied to sale proceeds
Astrotech Corporation (NASDAQ: ASTC) reported on October 13, 2026, that its Board of Directors approved the 1st Detect Corporation Transaction Incentive Bonus Plan. The plan is designed to incentivize key employees in connection with potential sale transactions involving 1st Detect Corporation, a wholly-owned Delaware subsidiary of Astrotech. Under the terms of the new plan, Astrotech will establish a bonus pool equal to 20% of the actual aggregate fair market value of proceeds received by 1st Detect or the Company upon the closing of a Sale Transaction. This calculation is determined by the plan administrator in their sole discretion and applies after the repayment of any indebtedness, liabilities, or capital lease obligations of 1st Detect. The proceeds are also net of fees associated with the Sale Transaction, which include investment banking, accounting, consulting, and attorney fees. No adjustment is made for amounts paid under the bonus plan itself. A bonus pool will only be established if the resulting Transaction Value equals or exceeds $20 million. Specific key employees selected by the administrator will be designated as participants and eligible for transaction bonuses based on their individual allocations from the pool. Any unallocated portion of the pool at the time of a Sale Transaction will be distributed to 1st Detect or the Company. However, Tom Wilkinson, a current director of Astrotech, acting solely as the administrator, may award all or part of the unallocated portion to Thomas B. Pickens, III, the Company’s Chief Executive Officer, provided Wilkinson remains an independent director and member of the administrator at that time. Transaction bonuses are payable only to participants who are actively employed by 1st Detect, its successor, Astrotech, or its affiliates on the payment date. Payments will be made on or within 30 days after the Sale Transaction proceeds are received. Eligibility for a bonus ceases if a participant’s employment terminates for any reason or if they fail to timely return a release. The plan takes effect on October 13, 2026, and remains in force until the earlier of five years from that date or its termination as specified in the plan documents. On the same date, the Board also approved the First Amendment to Astrotech’s existing Transaction Bonus Plan. This amendment removes the sale of a major subsidiary from the definition of a Qualifying Transaction under the Company Bonus Plan. Astrotech filed these documents as exhibits to its Current Report on Form 8-K.
