The arrangement lets Disney avoid the legal liabilities and obligations currently facing the beleaguered company.
Character.AI has faced multiple private lawsuits over the safety of its chatbots in recent years, alongside investigations from regulators around the world. According to a declaration filed as part of the bankruptcy proceedings, the company's newly appointed CEO stated that the goal of the filing was to reach a "consensual resolution" with personal injury claimants and a group of states investigating the firm. The declaration also noted the objective of maximizing the value of the company's assets for shareholders.
The deal appears structured so that the remaining entity of Character.AI will retain responsibility for those ongoing legal battles. As part of the transition, Karandeep Anand, the now former CEO of Character.AI, is among the staff members hired by Disney.
