The operational framework
The commercial side of the deal restructures how the two firms handle USDC infrastructure. Circle will pay Binance a monthly incentive fee based on a percentage of USDC held within Circle's Modular Smart Contract Wallet. This service allows platforms to embed USDC wallet functionality directly into their systems. In return, Binance has committed to running additional promotional campaigns for USDC across its exchange. The five-year term includes provisions that allow either party to terminate the agreement early under specific circumstances.
The equity component comes with strict trading restrictions. Binance is barred from selling, transferring, pledging, or hedging the shares for up to two years. This lockup period could end sooner if Binance terminates the commercial portion of the agreement under the specified conditions. Throughout the restriction period, Binance retains voting rights on the acquired shares. The filing was made with the U.S. Securities and Exchange Commission, which oversees publicly traded companies.
