Healthcare Triangle, Inc. (HCTI) entered into the First Amendment to the Equity Purchase Agreement with Hudson Global Ventures, LLC on September 22, 2026. The amendment modifies the original agreement dated June 12, 2026, which was previously filed as an exhibit to a Form 8-K on June 15, 2026.

The amendment reduces the maximum amount that may be sold pursuant to each Put Notice under Section 2.1 of the Equity Purchase Agreement from $2,500,000 to $250,000. It also increases the minimum price per share threshold under Section 7.1(o) from $0.01 per share to $0.10 per share. This threshold is subject to adjustment for stock dividends, splits, combinations, rights offerings, reclassifications, or similar transactions that proportionately affect the Common Stock.

The amendment redefines the "Purchase Price" to mean the Initial Purchase Price, calculated on the applicable date according to the terms of the original Equity Purchase Agreement. It also redefines the "Valuation Period" to mean the applicable Put Date as defined in the Equity Purchase Agreement.

A new Change of Control provision was added to the agreement. Under this provision, if a Change of Control Transaction occurs, Healthcare Triangle will no longer have the right to deliver any Put Notice to Hudson Global Ventures. All other terms and conditions of the Equity Purchase Agreement remain in full force and effect except as expressly amended.
