Jewett-Cameron Trading Company Ltd. (NASDAQ: JCTC) has reached an agreement to sell its surplus seed property to Washington County for $5,900,000. The transaction involves the real property located at 31345 NW Beach Rd. in Hillsboro, Oregon, and was formalized on October 19, 2026.
JC USA Inc., a wholly-owned subsidiary of the company, entered into the Purchase and Sale Agreement with Washington County, a political subdivision of the State of Oregon. The buyer will deposit $200,000 in earnest money into escrow in the form of a promissory note. This note converts to non-refundable cash under certain circumstances and is applied against the purchase price. However, the note is subject to cancellation and return to the buyer if the buyer terminates the agreement prior to the expiration of its initial 180-day due diligence period.
Washington County may extend the due diligence period for up to two additional 30-day periods. Each extension costs $50,000, paid through the conversion of the note, and is non-refundable except if the buyer terminates due to a default by the seller. The buyer's obligation to purchase is conditional on the satisfactory completion of its due diligence review and approval by the Washington County Board of Commissioners.
Closing is scheduled for a mutually agreed business day within 15 days after the expiration of the inspection periods, with a possible further extension of up to 15 additional days. If the buyer fails to close through no fault of the seller, the seller's sole remedy is to retain the earnest money as liquidated damages. Conversely, if the seller fails to close through no fault of the buyer, the buyer may terminate the agreement and receive a refund of the earnest money plus reimbursement for up to $20,000 in out-of-pocket third-party transaction costs, or seek specific performance.
A real estate commission equal to 5% of the purchase price will be paid to brokers at closing. The company stated that proceeds from the sale will first be used to reduce outstanding amounts under its credit facility with Northrim Funding Services. As of the filing date, there are no amounts outstanding under this credit facility. The full text of the Purchase Agreement will be filed as an exhibit to the company's Annual Report on Form 10-K for the fiscal year ended August 31, 2026. Chad Summers, President and Chief Executive Officer, signed the report on October 23, 2026.
