Nasdaq's Listing Qualifications Staff granted Onfolio Holdings Inc. (Nasdaq: ONFO) an extension until November 23, 2026, to regain compliance with the exchange's stockholders' equity listing standards. Nasdaq's Listing Qualifications Staff granted Onfolio Holdings Inc. (Nasdaq: ONFO) an extension until November 23, 2026, to regain compliance with the exchange's stockholders' equity listing standards. The company announced the development on October 7, 2026, following a review of its compliance submissions by the exchange.
The extension addresses a deficiency first identified in a notice issued by Nasdaq on May 26, 2026. At that time, Onfolio failed to meet the $2.5 million minimum stockholders' equity requirement under Listing Rule 5550(b)(1). The company also did not satisfy the alternative standards under Rule 5550(b), which relate to the market value of listed securities or net income from continuing operations.
In a letter dated October 5, 2026, Nasdaq specified that Onfolio must furnish a Report on Form 8-K to the Securities and Exchange Commission and Nasdaq evidencing compliance by the November deadline. The exchange will continue to monitor the company's ongoing compliance with its listing rules.
The letter outlines the potential consequences if Onfolio fails to evidence compliance. If the company does not meet the requirements when filing its periodic report for the year ending December 31, 2026, it may be subject to delisting. In that scenario, Nasdaq Staff would issue a written delisting notification, which the company could appeal to a Nasdaq Hearings Panel.
Onfolio stated that the letter has no immediate effect on the listing or trading of its common stock and warrants on the Nasdaq Capital Market. The decision also does not affect the company's business, operations, or reporting requirements with the SEC. The company noted that there can be no assurance it will regain compliance within the extension period or maintain compliance with Nasdaq's continued listing requirements going forward.
