Ripple Prime's $275 million note offering puts crypto prime brokerage on investment-grade paper for the first time
Ripple Prime's $275 million private placement of 8.25% senior unsecured notes, closed August 18 and rated BBB by KBRA, is in focus for $XRP as the first investment-grade bond issued by a crypto-affiliated prime broker. Piper Sandler led the deal; the notes mature in 2031. The next confirmable milestone is whether Ripple Prime returns to the debt market, which would signal the firm's planned entry into Delta1 and equity prime brokerage is funded and moving.
Key takeaways
- Ripple Prime closed a $275 million private placement of 8.25% senior unsecured notes on August 18, rated BBB by KBRA, making it the first investment-grade bond issued by a crypto-affiliated prime broker.
- Piper Sandler led the deal and the notes mature in 2031, with the 8.25% coupon sitting roughly three percentage points above the average for its BBB rating category.
- Ripple acquired the business, then called Hidden Road, in October 2025 for $1.25 billion and has since placed roughly $500 million of capital into the subsidiary, with another $500 million expected through 2026.
- The proceeds fund Ripple Prime's planned entry into Delta1 (total return swaps and synthetic equity financing) and equity prime brokerage, businesses it does not yet run at scale.
- No other crypto-affiliated prime broker currently holds an investment-grade rating, giving Ripple Prime a differentiated credential that lets pension funds, banks and insurers trade without filing internal credit exceptions.

The numbers
Ripple Prime pays roughly three percentage points above the average for its own rating category. The investment-grade corporate index yielded around 5.2% in the second quarter, and the 8.25% coupon puts the spread in plain view. For comparison, FS KKR Capital Corp priced $900 million of notes at 7.50% in June, rated BBB-, one notch below Ripple Prime, maturing the same year. BBB borrowing costs fell 18 basis points over Q2, finance company costs fell 37 basis points. The premium Ripple Prime carries is structural, not a rate-environment artifact.
KBRA classifies the firm as in a scaling phase: smaller than established broker-dealers, more concentrated than similarly rated peers, and partly dependent on Ripple's XRP holdings for its credit position.
Ripple says it has placed roughly $500 million of capital into the subsidiary since acquiring the business, then called Hidden Road, in October 2025 for $1.25 billion, with another $500 million expected through 2026. Neuberger Berman invested $200 million in May at a $40 billion valuation. Since the acquisition, Ripple says revenue has tripled year over year, the unit turned profitable in 2025, client collateral has doubled, and average daily transactions have climbed past 60 million.
The setup
The proceeds fund two businesses Ripple Prime does not yet run at scale. Delta1 covers total return swaps and synthetic equity financing for leveraged ETF sponsors. Equity prime brokerage means lending cash and shares to hedge funds that trade on borrowed capital. Both sit on the equities side of an investment bank and both put Ripple Prime on balance-sheet ground where the incumbents have decades of runway.
What Ripple Prime already holds: SEC broker-dealer registration, CFTC futures commission merchant status, FINRA and SIPC membership, clearing access at CME Group exchanges, and FICC Government Securities Division membership.
The BBB rating is the differentiated credential against its immediate crypto-native rivals. It lets pension funds, banks and insurers trade without filing internal credit exceptions. No other crypto-affiliated prime broker currently holds one. Coinbase Prime carries more than $400 billion in institutional custody and launched cross-collateral pooling across spot and derivatives in March. FalconX holds CFTC swap dealer status, claims access to 94% of global crypto liquidity, bought ETP issuer 21Shares in November, and filed confidentially for a public listing in May.
Noel Kimmel, president of Ripple Prime, said the upsized placement reflected institutional confidence in the business and its position between traditional and digital financial infrastructure. John D'Agostino, head of strategy at Coinbase Institutional, which runs Ripple Prime's nearest direct rival, has said he sees more competitive risk from newer crypto-native entrants than from Wall Street banks. Goldman Sachs' Global Banking and Markets division posted $15.52 billion in revenue in the second quarter, 53% above a year earlier, covering 61% of billion-dollar hedge fund clients.
One raise funds growth. A second tranche confirms Ripple Prime is moving into equities as a permanent business, not an option it is keeping open.
