Genius Group Targets $1.2 Billion for AI and Bitcoin Treasuries

Genius Group (NYSE: $GNS), a Singapore-based education technology firm, announced plans to execute a $1.2 billion capital raise to fund its dual focus on artificial intelligence and Bitcoin (CRYPTO: $BTC) holdings. The company disclosed on Thursday that it is considering the issuance of perpetual preferred securities as the primary vehicle for this expansion.

Genius Group (NYSE: $GNS), a Singapore-based education technology firm, announced plans to execute a $1.2 billion capital raise to fund its dual focus on artificial intelligence and Bitcoin (CRYPTO: $BTC) holdings. The company disclosed on Thursday that it is considering the issuance of perpetual preferred securities as the primary vehicle for this expansion.

Under the proposed structure, Genius Group aims to allocate $800 million to its AI Treasury and $827 million to its Bitcoin Treasury. Management has outlined a longer-term objective to accumulate $2 billion in total assets by 2031. The initial phase of the offering is expected to raise $12.5 million through non-convertible preferred securities that carry a variable dividend paid on a monthly basis.

The company stated that proceeds from the capital raise will be distributed across three main areas: AI investments, Bitcoin acquisitions, and a U.S. dollar reserve. This reserve is intended to cover approximately 18 months of preferred dividends, ensuring liquidity for debt service obligations. Genius Group has reportedly initiated discussions with investment banks specializing in both preferred securities and digital asset financing, though final terms and the specific timing of the offering remain undetermined.

CEO Roger James Hamilton emphasized the potential upside for equity holders, noting that any returns generated by the Bitcoin and AI Treasuries exceeding the preferred dividend rate would flow directly to the net asset value of ordinary shareholders. This structure seeks to leverage debt capital to amplify returns on the underlying digital and technological assets.

Currently, Genius Group reports net assets of $106.6 million, translating to a net asset value of $0.62 per share. The company's shares closed at $0.18 on August 26 and have risen 8% during the current trading session. The strategic shift toward digital assets follows shareholder approvals for the Bitcoin strategy in November 2024 and the AI Treasury authorization in May 2026.

The AI portfolio is designed to include exposure to major technology firms such as SpaceX, Anthropic, and OpenAI, alongside other artificial intelligence companies. In addition to maintaining its Bitcoin holdings, Genius Group plans to resume active Bitcoin purchases in the fourth quarter of 2026. The firm also expects to deploy up to $100 million into AI investments, targeting a mix of private companies, listed AI infrastructure firms, and other related opportunities.
