Nutanix, Inc. (NTNX) has formalized a transition arrangement with former President and Chief Commercial Officer Tarkan Maner, who will serve as a senior advisor for the next twelve months. The company disclosed these developments in a Form 8-K filed with the U.S. Securities and Exchange Commission on October 7, 2026.
The advisory role follows Maner's earlier decision to step down from his executive position, a move the company first reported in a previous 8-K filing on September 24, 2026. Under the new Transition Advisory Services Agreement, Maner will provide support for strategic business opportunities, manage the transition of customer and partner relationships, and assist with other strategic initiatives. The agreement includes a monthly advisory fee of $37,500 for the twelve-month term, which may be terminated early by either party with thirty days' prior notice or for cause.
The filing explicitly states that the agreement does not include severance benefits, make-whole payments, new equity awards, or accelerated vesting of existing stock options. However, Maner remains eligible to satisfy the vesting requirements for his outstanding equity awards under the terms of the applicable equity incentive plan while he continues to provide services under the advisory contract. The full text of the agreement is expected to be filed as an exhibit to Nutanix's Quarterly Report on Form 10-Q for the quarter ending October 31, 2026.
In the same filing, Nutanix announced that director Craig Conway will not stand for re-election to the Board of Directors at the company's 2026 annual meeting of stockholders. Conway notified the company of this decision on October 5, 2026, and will continue to serve on the board until that meeting takes place. The company stated that Conway's decision is not the result of any disagreement regarding its operations, policies, or practices. The board and company acknowledged Conway's long tenure and contributions to the firm.
Nutanix is headquartered in San Jose, California, and its Class A Common Stock trades on The Nasdaq Global Select Market under the ticker symbol NTNX. The filing was signed by Brian Martin, the company's Chief Legal Officer.
