Key takeaways
- Sadot Group settled the two remaining 8% Unsecured OID Debentures on August 21, 2026, exchanging $543,478.26 in principal for 67,936 shares of common stock at $8.00 per share.
- The agreement eliminates the entire February debenture series, which originated as four instruments totaling $1,086,956.52 issued February 9, 2026 and matured May 30, 2026 without payment.
- Original holders Cecilia Castro and Harding Castro (as tenants in common) and 622 Capital, LLC assigned their positions on August 21 to a single third-party Assignee Debenture Holder, who then held 100% of the remaining principal and signed the settlement agreement the same day.
- The 67,936 Settlement Shares carry a 4.99% beneficial ownership cap (raisable to 9.99% on 61 days' notice), a 19.99% aggregate exchange cap under Nasdaq Rule 5635(d), and a leak-out limiting daily distribution to 15% of daily trading volume.
- The holder of Sadot's $4,000,000 senior secured convertible July Note granted a one-time waiver of variable rate transaction and participation provisions to allow the assignment and settlement to close.

Clearing the debt chain
The February Debentures originated as four instruments totaling $1,086,956.52, issued February 9, 2026, on an 8% unsecured OID structure. They matured May 30, 2026 without payment and sat open on the books through the summer. Two earlier settlements moved the first two off the manifest: on August 17, one debenture closed at 32,909 shares; on August 19, a second was assigned to a third-party acquirer and settled at 33,968 shares. Those conversions reset the fixed conversion price on Sadot's separate July Note to $8.00 per share.
For the final two, the original holders, Cecilia Castro and Harding Castro as tenants in common and 622 Capital, LLC, each assigned their position on August 21 to a single third-party acquirer (the Assignee Debenture Holder). The cash purchase price in that transfer equaled the outstanding principal of each instrument. Once that hand-off was complete, the Assignee Debenture Holder held 100% of the remaining principal and signed the Debt Settlement and Share Issuance Agreement the same day.
The setup
The 67,936 Settlement Shares carry three structural limits. Beneficial ownership at the assignee level is capped at 4.99% of outstanding common stock, with an option to raise that ceiling to 9.99% on 61 days' prior written notice. An aggregate exchange cap of 19.99% applies under Nasdaq Listing Rule 5635(d), measured on a consolidated basis across all three August settlements and against the share count immediately before the August 17 issuance, absent stockholder approval. Daily distribution is further throttled to 15% of the common stock's daily trading volume, a leak-out provision that controls the pace at which newly issued shares enter the float.
The July Note touched this transaction as well. Sadot's $4,000,000 senior secured convertible note, issued July 16, 2026, required a Consent, Waiver and Acknowledgment from its holder before the assignment and settlement could close. That holder granted a one-time waiver of variable rate transaction and participation provisions in the July securities purchase agreement, solely for these transactions, subject to certain conditions.
What to watch: whether the Settlement Shares clear within the two-business-day delivery window and whether the cumulative share count from the three August settlements pushes against the 19.99% Nasdaq exchange cap.
